For custom software development projects, intellectual property ownership will be specified in separate written agreements. Unless otherwise agreed, we retain ownership of any pre-existing intellectual property and general methodologies.
Our Services may integrate with or contain links to third-party services, websites, or applications. We are not responsible for and do not endorse any third-party services. Your use of third-party services is governed by their respective terms and privacy policies.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Before initiating any legal proceeding, you agree to first contact us to attempt to resolve any dispute informally. We will work in good faith to resolve the dispute.
Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Dallas, Texas, United States.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas.
These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Softdaemon regarding the Services.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or network failures.
You agree to comply with all applicable export and import laws and regulations in your use of the Services.
